PLEASE NOTE THAT YOUR USE OF AND ACCESS TO THE SERVICES (DEFINED BELOW) ARE SUBJECT TO THE FOLLOWING TERMS. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

Welcome to Cephyron IRM, a product of Energy Tech Startups, Inc., a Delaware C-Corporation, doing business as Cephyron IRM ("Cephyron," "we," or "us"). These Terms of Service (the "Terms") govern your access to and use of Cephyron’s websites, products, services, and applications (collectively, the "Services"). These Terms constitute a binding legal agreement between you and Cephyron.

By accessing or using the Services in any manner, you agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein.

Will These Terms Ever Change?

We are continually improving the Services. Accordingly, we reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Services, by email, or by other reasonable means. Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.

What About Privacy?

Cephyron takes privacy seriously. Please review our Privacy Policy for information on how we collect, use, and disclose data. Certain features of the Services involve automated processing, aggregation, and analysis of data, including machine learning–based systems, as further described below.

The Services are not intended for individuals under the age of 13, and we do not knowingly collect personal information from children under 13.

What Are the Basics of Using the Services?

You may be required to create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may use the Services solely for your internal business purposes and in compliance with all applicable laws. You may not use the Services on behalf of third parties except as expressly permitted by Cephyron.

You agree not to:

  • Violate any applicable law or regulation;
  • Infringe or misappropriate the rights of others;
  • Attempt to access or interfere with the security or integrity of the Services;
  • Scrape, crawl, or systematically extract data from the Services;
  • Reverse engineer or attempt to derive the source code or underlying models of the Services.

A violation of the foregoing may result in suspension or termination of your access to the Services.

Automated Processing and Recommendations

The Services use automated systems, including machine learning models, to analyze data and generate recommendations, insights, profiles, and other outputs. These systems are self-learning and improve over time based on data inputs and usage patterns.

You acknowledge and agree that:

  • Outputs of the Services are probabilistic and informational in nature;
  • Recommendations are informational only and relate solely to potential business or networking connections; they do not constitute investment, legal, or financial advice, nor any guarantee of outcomes.
  • Cephyron does not warrant the accuracy, completeness, or suitability of any recommendation or insight.

What Are My Rights in the Services?

All content, software, databases, models, designs, text, graphics, and other materials made available through the Services (collectively, the "Content") are owned by or licensed to Cephyron and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Services or Content.

User Submissions

Anything you upload, submit, store, or otherwise provide through the Services is a "User Submission." User Submissions may include, without limitation: (a) information about third-party individuals or entities, whether or not they are users of the Services, including contact information, professional metadata, and qualification notes regarding potential investors; and (b) business materials uploaded in connection with creating a deal or data room, including executive summaries and related documents.

You retain ownership of your User Submissions. However, you grant Cephyron a royalty-free, perpetual, irrevocable, worldwide, sublicensable license to host, store, use, reproduce, modify, analyze, aggregate, and otherwise process User Submissions solely for the purpose of operating, improving, and providing the Services.

For clarity:

  • Documents and materials uploaded by you in connection with a deal or data room (such as executive summaries) remain your property or the property of the applicable company;
  • Cephyron does not claim ownership over, and does not use, disclose, or repurpose the substantive proprietary content of such materials except as expressly enabled by you through the Services;
  • Visibility and disclosure of deal materials to third parties occurs only through features expressly enabled by the user;
  • At the user’s direction, Cephyron may generate summaries or analytical representations of submitted materials for sharing with approved third parties through the Services;
  • Cephyron may automatically process such documents using automated systems, including large language models, to extract, classify, normalize, and generate structured metadata, parameters, and signals;
  • All outputs of such processing, including extracted metadata, inferred attributes, analytical parameters, and preparation of inputs for Cephyron’s recommendation and machine-learning systems, constitute Derived Data and are owned exclusively by Cephyron.

User Submissions relating to third-party individuals or entities may, after use by the submitting user, become part of a shared or community dataset accessible to other users of the Services. You acknowledge that such User Submissions are non-exclusive and may be combined with data from other users, public sources, or Cephyron’s own research.

You represent and warrant that you have all rights and permissions necessary to submit User Submissions and that doing so does not violate any law, confidentiality obligation, or contractual restriction.

Derived Data

"Derived Data" means any data, analytics, profiles, scores, models, inferences, insights, recommendations, or other outputs generated by the Services through the analysis, aggregation, or processing of User Submissions, platform data, usage data, or other inputs.

You acknowledge and agree that:

  • Derived Data is not User Submission;
  • All Derived Data is owned exclusively by Cephyron;
  • You have no right to access, extract, or use Derived Data outside the functionality expressly provided by the Services, including for the purpose of recreating or competing with the Services.

Third-Party Services

The Services may contain links to or integrations with third-party services. Cephyron does not control and is not responsible for third-party services, and your use of such services is at your own risk.

Fees and Termination

Certain portions of the Services may be offered free of charge, while others require payment. Fees and billing terms will be provided at the time of purchase.

You may stop using the Services at any time. Cephyron may suspend or terminate your access for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive.

Disclaimer of Warranties

THE SERVICES AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CEPHYRON DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CEPHYRON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

Indemnification

You agree to indemnify and hold harmless Cephyron, its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration on an individual basis.

Miscellaneous

These Terms constitute the entire agreement between you and Cephyron regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. You may not assign these Terms without Cephyron’s prior written consent. Cephyron may assign these Terms freely.
